Terms of Service

Please read these Terms carefully. They govern your access to and use of VaultEdger.

These Terms of Service ("Terms") constitute a binding agreement between VaultEdger ("VaultEdger," "we," "us," or "our") and the business entity and individuals that register for, access, or use the VaultEdger platform and services (the "Subscriber," "you," or "your"). By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you confirm that you have the authority to bind your business and that you accept these Terms in full.

If you do not agree to these Terms, you must not access or use the Service.

1. The Administrative Tool Disclaimer

VaultEdger is strictly an administrative management and accounting software utility. The Service is a digital tool that helps businesses record, organise, and report on their own inventory, sales, and staff-commission information.

VaultEdger is expressly NOT, and does not hold itself out to be, any of the following:

  • a medical practitioner, physician, nurse, or provider of clinical or medical advice;
  • a licensed pharmacist, pharmacy, or dispenser of pharmaceutical products or pharmaceutical advice;
  • a diagnostic laboratory or provider of diagnostic, testing, or laboratory services;
  • a regulatory auditor, inspector, certifying body, or official compliance authority of any kind; or
  • a provider of legal, accounting, tax, regulatory, or professional advice.

Nothing generated, displayed, calculated, or stored by the Service constitutes medical, pharmaceutical, regulatory, legal, or financial advice. The Subscriber is solely responsible for ensuring that its operations comply with all applicable laws, regulations, professional standards, and licensing requirements governing pharmacies, laboratories, clinics, and the handling of regulated products in the Republic of Ghana. The Subscriber must not rely on VaultEdger as a substitute for the independent judgment of qualified, licensed professionals or for any mandatory regulatory process.

2. User Input Indemnification & Accuracy of Data

The Service operates on, and produces outputs derived entirely from, the data that the Subscriber and its Users enter into the dashboard. The Subscriber assumes one hundred per cent (100%) responsibility for the accuracy, completeness, legality, and timeliness of all data entered into, stored within, or generated through its VaultEdger account.

To the fullest extent permitted by law, VaultEdger holds zero legal or financial liability for any loss, damage, cost, fine, penalty, claim, or harm arising out of or in connection with, including but not limited to:

  • inventory errors, incorrect drug or product counts, or mismatches between recorded and physical stock;
  • expired batch oversights, failure to monitor or act upon batch reference numbers, or failure to remove expired or recalled stock;
  • manual financial entry errors, including typographical mistakes in prices, quantities, commission rates, or transaction amounts;
  • incorrect or fraudulent entries made by the Subscriber's own staff, including cashiers, clinicians, or administrators;
  • decisions, actions, or omissions taken by the Subscriber in reliance on reports, totals, ledgers, or figures produced by the Service from Subscriber-supplied data; or
  • any regulatory, tax, professional, or legal consequence resulting from the Subscriber's records or business conduct.

The Subscriber agrees to indemnify, defend, and hold harmless VaultEdger, its directors, officers, employees, contractors, and partners from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to the Subscriber's data, the Subscriber's use of the Service, the Subscriber's violation of these Terms, or the Subscriber's violation of any applicable law or third-party right.

3. Subscription & Billing Rules (via Paystack)

VaultEdger is offered on a freemium basis, with a free tier and one or more paid subscription tiers (for example, "Pro" and "Enterprise"). Paid tiers are billed on a recurring monthly cycle.

  • Authorisation of recurring charges. By subscribing to a paid tier, the Subscriber authorises VaultEdger, through its payment partner Paystack, to automatically charge the Subscriber's selected payment method the applicable subscription fee at the start of each monthly billing cycle, until the subscription is cancelled in accordance with these Terms.
  • Payment processing. All payments are processed securely by Paystack. VaultEdger does not capture or store the Subscriber's full card numbers, bank account numbers, or banking PINs, as set out in our Privacy Policy.
  • Failed payments, retries, and automatic downgrade. If a recurring Paystack charge fails, the Subscriber's payment may be retried in accordance with standard payment-processing retry practices. If payment cannot be successfully collected after such retry attempts, VaultEdger reserves the right to automatically downgrade the account to the free tier and/or deactivate access to premium features without further notice. Premium features will be restored upon successful collection of the outstanding amount.
  • No-refunds policy. Except where a refund is required by mandatory applicable law, all subscription fees are non-refundable. Fees already paid for an active monthly service cycle will not be refunded or pro-rated, including in cases of cancellation, downgrade, non-use, or deactivation during that cycle. Cancelling a subscription stops future renewals; it does not entitle the Subscriber to a refund of the current cycle.
  • Price changes. VaultEdger may change subscription pricing or the features included in any tier. Where required, we will provide reasonable advance notice of price changes, which will take effect at the start of the next billing cycle following such notice.
  • Cancellation. The Subscriber may cancel a paid subscription at any time. Access to premium features continues until the end of the then-current paid cycle, after which the account reverts to the free tier.

4. Service Provided "As Is"

To the fullest extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. VaultEdger does not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected, or that the Service or the servers that make it available are free of harmful components.

5. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall VaultEdger, its directors, officers, employees, contractors, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with the Service or these Terms, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

To the maximum extent permitted by law, VaultEdger's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total subscription fees actually paid by the Subscriber to VaultEdger in the three (3) months immediately preceding the event giving rise to the claim.

6. Acceptable Use

The Subscriber agrees not to misuse the Service. In particular, the Subscriber shall not: (a) use the Service to store patient medical histories or health records, which the Service is not designed to hold; (b) attempt to gain unauthorised access to the Service, other accounts, or underlying systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) use the Service for any unlawful purpose or in violation of any applicable Ghanaian law or regulation; or (e) share login credentials in a manner that compromises account security. The Subscriber is responsible for all activity occurring under its accounts.

7. Suspension & Termination

VaultEdger may suspend or terminate a Subscriber's access to the Service, in whole or in part, if the Subscriber breaches these Terms, fails to pay applicable fees, or uses the Service in a manner that may cause harm to VaultEdger, other users, or third parties. The Subscriber may terminate its account at any time. Sections relating to indemnification, limitation of liability, disclaimers, and the no-refunds policy survive termination.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Ghana for the resolution of any dispute arising out of or relating to these Terms or the Service.

This Service operates in accordance with the Electronic Transactions Act, 2008 (Act 772) and the Data Protection Act, 2012 (Act 843) of the Republic of Ghana. The platform operator acts as a Data Processor, while each subscribing pharmacy ("Subscriber") is the Data Controller of the personal data it enters and manages within its own dashboard. Billing details, bank names, and Mobile Money (MoMo) numbers are processed securely through our payment gateway processor, Paystack Payments Limited (Paystack Ghana).

9. Changes to These Terms

VaultEdger may modify these Terms from time to time. The "Last Updated" date indicates the most recent revision. Material changes will be communicated through the Service or by email. Continued use of the Service after such changes take effect constitutes acceptance of the revised Terms.
